01. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”) and CripViz, Inc. (“CripViz,” “we,” “us”), a Delaware corporation, governing your access to and use of the CripViz mobile application, website at cripviz.io, and all related services (collectively, the “Services”).

By downloading, installing, or using the CripViz application, creating a wallet, or accessing any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

02. Description of Services

CripViz provides a non-custodial cryptocurrency wallet application available on iOS devices that includes:

• Wallet creation, key generation, and management tools
• Real-time cryptocurrency market data, charts, and heat map visualizations
• Decentralized exchange (DEX) swap aggregation and routing
• Portfolio tracking and performance analytics
• Price alerts and notification services
• Multi-chain asset support and management
• DeFi protocol integrations via Web3 browser functionality

03. Non-Custodial Nature & User Responsibility

CripViz is a non-custodial wallet. This means:

• You control your private keys. Your private keys are generated locally on your device and are never transmitted to or stored by CripViz.
• We cannot access your funds. CripViz has no ability to access, freeze, transfer, or recover your cryptocurrency assets.
• You are solely responsible for your recovery phrase. If you lose access to your device and your recovery phrase, your funds are permanently and irreversibly lost.
• You bear all transaction risks. All blockchain transactions are irreversible. Verify all transaction details before signing.

04. Eligibility & Account Registration

To use the Services, you must: (a) be at least 18 years of age; (b) have the legal capacity to enter into binding contracts in your jurisdiction; (c) not be a resident of, or located in, a jurisdiction where cryptocurrency activities are prohibited by law; and (d) not be subject to U.S. or applicable international sanctions.

05. Prohibited Activities

You agree not to use the Services to:

• Engage in money laundering, terrorist financing, or any AML-prohibited activity
• Conduct transactions involving sanctioned persons, entities, or countries
• Circumvent, disable, or interfere with security features of the Services
• Reverse-engineer, decompile, or disassemble the application
• Use the Services for any illegal or unauthorized purpose
• Violate any applicable law or regulation, including securities laws

06. Fees & Payments

CripViz charges: Subscription Fees for Pro and Institutional plans billed monthly or annually; Swap Fees disclosed in-app at the time of each transaction; and No Hidden Fees — all fees are disclosed prior to transaction confirmation. All subscription payments are processed through Apple’s in-app purchase system and are subject to Apple’s payment terms.

07. Intellectual Property

The Services and all content, including the heat map visualization engine, charting algorithms, DEX routing logic, software code, UI design, and branding, are owned by CripViz, Inc. and protected by applicable intellectual property laws. The CripViz name, logo, and related marks are trademarks of CripViz, Inc.

08. Disclaimers & Risk Disclosure

THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. Specific risks include market volatility; smart contract bugs; blockchain network failure; regulatory changes; loss of private keys; cyberattacks; and hardware failure.

09. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRIPVIZ AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. IN NO EVENT SHALL CRIPVIZ’S TOTAL LIABILITY EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TO CRIPVIZ IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless CripViz, Inc. and its officers, directors, employees, contractors, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms or use of the Services.

11. Dispute Resolution & Arbitration

Any dispute arising from these Terms shall be resolved by binding arbitration administered by JAMS in San Francisco, California. YOU AND CRIPVIZ EACH WAIVE ANY RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN CLASS ACTION PROCEEDINGS.

12. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law principles.

13. Modifications to Terms

CripViz may modify these Terms at any time with notice posted on our website and in the app. Your continued use of the Services after changes constitutes acceptance of the new Terms.

14. Termination

You may stop using the Services at any time. Because CripViz is non-custodial, deleting the app does not affect your blockchain wallets — your assets remain accessible via your recovery phrase in any compatible wallet.
